Identificar y aplicar la terminología jurídica utilizada en los textos jurídicos y utlizarla convenientemente en las distintas formas de expresión oral y escrita

Explicar la función del Derecho mercantil en el conjunto del ordenamiento jurídico
Diferenciar y explicar la naturaleza mercantil de los distintos problemas que puedan surgir en el entorno empresarial y aplicar los conocimientos adquiridos para alcanzar soluciones
Identificar, clasificar y describir las diferentes instituciones propias del Derecho mercantil y que son aplicables al desarrollo de actividades empresariales

Introducción al Derecho mercantil. Concepto de empresario. Clases: empresario individual y empresario social. Estatuto juridico del empresario: Registro mercantil; responsabilidad y auxiliares. Concepto de sociedad. Elementos. La personalidad jurídica. Distintos criterios de distinción entre empresarios. Especial referencia a las sociedades personalistas y a las sociedades capitalistas. Régimen jurídco de las sociedades colectivas y comanditarias. Régimen jurídico de las sociedades capitalistas. Notas comunes y diferenciales entre la SA y la SRL. Diversas formas de constitución. Description

Four assignments which may consist of readings, legal cases and similar activities (0,5 points each one of them). All this assignments must be solved by the students in the classroom as a complement to the lectures. By this way the explanation of the content is reinforced from a practical approach.

Risks prevention

Promoting the continuous improvement of working and study conditions of the entire university community is one the basic principles and goals of the Universidad Politécnica de Cartagena. Such commitment to prevention and the responsibilities arising from it concern all realms of the university: governing bodies, management team, teaching and research staff, administrative and service staff and students. The UPCT Service of Occupational Hazards (Servicio de Prevención de Riesgos Laborales de la UPCT) has published a "Risk Prevention Manual for new students" (Manual de acogida al estudiante en materia de prevención de riesgos), which may be downloaded from the e-learning platform ("Aula Virtual"), with instructions and recommendations on how to act properly, from the point of view of prevention (safety, ergonomics, etc.), when developing any type of activity at the University. You will also find recommendations on how to proceed in an emergency or if an incident occurs. Particularly when carrying out training practices in laboratories, workshops or field work, you must follow all your teacher's instructions, because he/she is the person responsible for your safety and health during practice performance. Feel free to ask any questions you may have and do not put your safety or that of your classmates at risk.

Theory class: Activities consisting of training sessions to develop theoretical knowledge based on concepts and theories

Description

Theory classes involve the explanation of the content of the different didactic units in the classroom combined with practical issues related to the subject. This allows students to acquire competences CB4, CG7 and the specific curricular competence of the subject and the subject learning outcomes 1, 3 and 5.



Practical classes allow students to implement their theoretical knowledge about the subject into practice, and thereby, the acquisition level of competences CG7, CB4 and CT1 level 2. In the same way, subject learning outcomes 2 and 4 can be assessed.

Students will have to take two written exams consisting of five question. With this, the student acquisition level of competences CB4, CG7 and the specific curricular competence related to the subject will be assessed together with the subject learning outcomes 1, 3 y 5.



Students will also have to do four assignments along the course. With them, the student acquisition level of competences CB4, CG7 and CT1 will be assessed, together with the subject learning outcomes 2 and 4.

Students should take two partial exams:

First written exam. The students level of knowledge of lessons 1-7 will be assessed. (4 points)

Second written exam. The students level of knowledge of lesson 8-14 will be assessed. (4 points)



The written exam will include 5 questions (0,8 each one of them). It will assess the student acquisition level of CB4 and the specific curricular competence related to the subject, as welll as the subject learning outcomes 1, 3 and 5.



Students will pass the subject in the Continous Assessment System if they obtain 5 points after adding up the marks of the two writting exams and the assignments.



In order to add the grades obtained in the two partial exams, it is necessary to obtain 1,6 points over 4 in each one of them.

Assessment is carried out according to four assignments designed by the lecturer (0,5 points each one of them). These assignments might consist of readings, legal cases or similar activities.



These four assignments will assess the student acquisition level of CB4, CG7, CT1/level 2 and the specific curricular competence related to the subject, as well as the subject learning outcomes 2 and 4.



The mark obtained in the assignmets can be used in the Final Assessment System, in case the student could not reach five points in the Continous Assessment System.

Written exam of 10 points which consists of three parts.



- First part: five questions corresponding to lessons 1-7 with the same correction criteria than in the first partial exam.



- Second part: five questions to lessons 8-14 and with the same correction criteria than in the second partial exam.



It will assess the student acquisition level of CB4 and the specific curricular competence related to the subject, as well as the subject learning outcomes 1, 3 and 5.



- Third part: 1 Legal case (2 point). It will assess the student acquisition level of CB4, CG7 and the specific curricular competence related to the subject, as welll as the subject learning outcomes 2 y 4.



Those students who have obtained more than 1,6 points in one of the written exams of the Continuous Assessment System will not have to take the part of the final exam (test exam and two questions) which corresponds to those contents. If students who have obtained more than 1,6 points in the Continuous Assessment System want to take the final exam, they will have to resign the final grade obtained in the Continuous Assessment System.
